By accessing or using Pieceful ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users of the platform, including business owners and team members (collectively "users").

2. Description of Service

Pieceful is an equity planning and visualization tool designed to help small business owners create, communicate, and model equity arrangements with their team members. The Service allows you to create equity plans, add team members, model vesting schedules, and project exit scenario outcomes.

3. User Accounts

You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You represent that the information you provide when creating an account is accurate and complete, and that you will keep it up to date. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.

You retain ownership of all data and content you input into the Service, including business information, stakeholder details, and equity plan configurations. By using the Service, you grant us a limited license to store and process your data for the purpose of providing the Service.

You are solely responsible for the accuracy of the data you enter. Pieceful does not verify the accuracy of any valuations, equity percentages, or other figures you input, and is not liable for decisions made based on outputs generated from inaccurate inputs.

6. Limitations of Liability

To the maximum extent permitted by law, Pieceful and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, the Service. This includes but is not limited to damages arising from equity disputes, business decisions made using the Service's outputs, or unauthorized access to your account.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate for legal or financial purposes.

7. Modifications to Service

We reserve the right to modify or discontinue the Service at any time, with or without notice. We may also update these Terms of Service from time to time. Your continued use of the Service after any changes constitutes acceptance of the new terms.

8. Governing Law
